Contracts Manager - Commercial Contracts - Licensing

Background

My client who are a leading global information services company are currently looking for a Commercial Contract professional to join them.

The Commercial Team is responsible ensuring that the right levels of rigour are applied to all deals the business enters into; be that new business sales opportunities, existing client renewals or cross sales opportunities within the existing client base. This covers the negotiation and conclusion of commercial contracts with our customers, ensuring that deal economics are acceptable and approved in line with the governance framework along with providing wider support and advice on all commercial matters. The team is supported by a number of functional teams across the wider group and acts as a key interface between the business unit, our clients and these teams.

Essential Duties and Responsibilities

Para Legal Support

Preparation of deal specific commercial schedules and contractual terms (based upon predfined standards)

Acting as the interface between the internal legal team, the Senior Commercial Manager and other internal business stake holders business.

Responding to Non-Disclosure Agreement (NDA)/Data Processing Agreement queries including reviewing customer NDAs and DPAs, liaising with Legal Team for escalations

Negotiating documents with clients, either by email or teleconference

The internal legal team will provide support as required

Provide support to account management team for business renewals

Provide commercial input into pricing and deal structures

Ensure appropriate contractual documentation is in place

Ensure governance and process are followed and that appropriate authorisation is achieved

Champion Commercial best practice within the Business Unit

Provide adhoc support and advice to Account Management and wider business teams as required

Performing other appropriate tasks as required by the Commercial Manager

Understand and participate in performance management processes

Actively contribute to a culture where the fair treatment of customers is at the heart of the business. Take personal responsibility to ensure that you adhere to all regulatory requirements and apply appropriate controls in the interests of our customers.

Job requirements and qualifications

Essential

Experience in either a contract, commercial or licensing role

Good planning, organisational & time management skills: ability to multitask & prioritise workload

An understanding of the following: contract law, contract management and contractual structures

Excellent attention to detail

Great communication skills both written and verbal

Ability to communicate effectively at all levels of the business hierarchy

Ability to work both as a part of a team and independently

Strong Microsoft Office skills - Word and Excel

Tenacious, robust and thick skinned

An academic record or professional experience that demonstrates an ability to learn, understands concepts, interpret information and act in a logical and methodical manner.

Desirable

Experience in a commercial management environment

Previous experience of developing and implementing policies and processes

An understanding of the principles of software and data licensing experience or understanding of software, data or services industry

Experience supporting or directly interacting with sales account managers.
