Three fields where client confidentiality is often baked into the engagement from day one.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Software developers, AI\/ML and data specialists<\/strong>, all cluster tightly around 91\u201393%. At the lower end, <strong>solution and enterprise architects <\/strong>report the lowest rate in the survey at 77%.<\/p>\n\n\n\n<p class=\"has-background wp-block-paragraph\" style=\"background-color:#f5f5f5\">\ud83d\udca1This survey skews heavily toward IT and <a href=\"https:\/\/www.freelancermap.com\/freelancer\">tech freelancers<\/a>. Fields like marketing, finance, HR, and legal had too few respondents in the sample.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<h2 id=\"InformationIncluded\" class=\"wp-block-heading\">Structure of an NDA: Information to include<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Every NDA, freelance or otherwise, tends to include the same core building blocks:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Definition of confidential information<\/strong>: deliberately a little vague, since spelling out actual secrets would defeat the purpose. Expect broad language like <em>&#8220;innovative processes<\/em>&#8221; alongside concrete examples like sales figures or customer data.<\/li>\n\n\n\n<li><strong>Exclusions<\/strong>: what&#8217;s specifically <em>not<\/em> covered: information already public, or information you didn&#8217;t cause to become public.&nbsp;<\/li>\n\n\n\n<li><strong>Permitted and prohibited activities<\/strong>: what you can and can&#8217;t do with the confidential information.&nbsp;<\/li>\n\n\n\n<li><strong>Contractual penalty for violation<\/strong>: what happens if the agreement is broken (covered in more detail below).&nbsp;<\/li>\n\n\n\n<li><strong>Period of validity<\/strong>: how long the confidentiality obligation lasts (also covered in detail below).&nbsp;<\/li>\n\n\n\n<li><strong>Who&#8217;s covered<\/strong>: the agreement should name everyone who&#8217;ll have access, including any subcontractors. Instead, it&#8217;s negotiated the <em>least<\/em>: freelancers with a 3\u20135 year term pushed back on it 40% of the time, and those with a 5+ year term did so 42% of the time, but freelancers with a no-end-date NDA only raised it 21% of the time.<\/p>\n\n\n\n<p class=\"has-background wp-block-paragraph\" style=\"background-color:#f5f5f5\">\ud83d\udca1 If your NDA has no end date, that&#8217;s genuinely worth raising with your client before you sign. <\/p>\n\n\n\n<h2 id=\"Negotiate\" class=\"wp-block-heading\">Can you negotiate an NDA?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>32% of freelancers who&#8217;ve signed an NDA have asked a client to change its terms before signing<\/strong>.
