Contract Manager - Retail Bank Contract Negotiations/Regulatory Change - £455 per day

A top retail bank is seeking a Contract Manager to join their ring fence and resolution programme for an initial 6 month period.

Programme & Project Overview

Post the financial crisis of , regulatory bodies are mandating that all Banks separate core retail and commercial banking activities from more complex and risker commercial and non-EEA (European Economic Area), activities to address the Too Big To Fail problem (ie the idea that a business has become so large and ingrained in the economy that the taxpayer must provide assistance to prevent its failure). Ring-fencing is regulated by the Prudential Regulation Authority (PRA) and compliance is required by 1st Jan 2019. In response to this, the Bank will create a wide Ring-fence Bank (RFB) with non-permitted activities housed outside the RFB into a Non-Ring-fenced Bank (NRFB).

The Group have been mandated by the PRA to deliver a number of changes to meet regulatory requirements under Operational Continuity and Ring Fencing. Group Operations is currently running a programme (under a wider Group Risk led Programme) to define, design and deliver the required changes. A Contract Manager is required to support the establishment of governance required and to assist in the creation and negotiation of the Intra Group Agreement (IGA) Master Agreements, Non-Service Schedules and Service Schedules where appropriate, or engage the necessary Business Subject Matter Experts (SMEs) to do so.

Responsibilities, Accountabilities and Deliverables

  • Supporting the relevant Business areas in the drafting and creation of a set of contractual Service Schedules:
    • Contract negotiation
    • Drafting
    • Review and Approval processes
  • Coordination, preparation and administration of the governance meetings to support the process
  • Providing guidance to Group Legal and the Business on IGA's
  • Establish the governance required for IGA Legal master agreements and service schedules
  • Produce where necessary and negotiate the IGA Legal master agreements and schedules
  • Engage the necessary Business SMEs in negotiation and production of IGA Legal master agreements and service schedules.
  • Reviewing business documentation and providing feedback.
  • Understanding how the business areas function to enable better understanding of the IGA requirements.
  • Setting up and running workshops/surgeries with the Business stakeholders.
  • Managing, developing and presenting options for design issues.

Essential Skills, Qualifications & Experience

  • Financial Services experience is essential, as is experience in the writing and negotiation of commercial/internal contracts
  • Emphasis on knowledge of wholesale/commercial banking products (loans, transaction banking, markets etc.) being an advantage
  • Experience in Legal contract negotiation, production and administration is essential, as the candidate will be required to support the establishment of governance required for and to write and negotiate the Intra Group Agreement (IGA) Master Agreements, Non-Service Schedules and Service Schedules where appropriate, or engage the necessary Business Subject Matter Experts (SMEs) to do so.
  • Contract and Commercial governance and delivery experience
  • Ability to understand and interpret regulatory guidance
  • Understanding of Service Agreements/contracts/inter-Group formal arrangements
  • Strong appreciation of importance of procedures and policy adherence
  • Strong collaborative skills (team player) with ability to work and negotiate with diverse stakeholders in a Matrix environment
  • Ability to manage, track and report on progress and RAID of multiple Business workstreams through governance forums
  • Ability to convert uncertainty and ambiguity into clear and appropriate actions
  • Excellent interpersonal skills, calm and efficient under pressure
  • Strong coordination, organisation and time management
  • Articulate, with good written and presentation preparation, documentation and specification skills
  • Ability to self-manage and undertake activities with initiative
  • Problem solving ability and strong analytical skills
