Senior Transaction Manager - Corporate Trust - CLO - Securitisation - Project Finance - Corporate Lending - Debt Market Document Negotiation - Corporate Trust - Paying Agent - LegalWe are looking for a Senior Transaction Manager to come and join a Corporate Trust Transaction Management team within a leading financial services institution. This person will be responsible for the onboarding of the capital market transactions. The successful candidate will be responsible for these highly specialised deals/transactions from initiation through to closing. The successful candidate will act as a primary point of contact within internal and external parties on new and existing transactions, and ensure they meet all operational and documentation standards and mitigate any risk.
The focus of these transactions will be Collateralised Loan Obligations (CLO's), Securitisation, Project Finance and Corporate Lending.
Key responsibilities:
- Deal Acceptance - Reviews, negotiates and executes all governing documents for new transactions ensuring that deal documentation accurately reflects operational responsibilities, structure terms and documentation standards.
- Deal Closing - Liaises with internal groups to coordinate the closing timeframes, and controls and coordinates the bond/program issuance and closing the with the relevant support utilities.
- Deal set-up - Procures the safe-keeping and scanning of all investor documents and contractual documents entered into by the companies' entities
- Life of Issue - Responsible for the review of substantive post-closing matters, which include supplements, amendments and document interpretation.
- General Transaction Management - Maintains an understanding of the company's policies concerning the exercise of discretion in a fiduciary role as it relates to various jurisdictions.
- Experience of Corporate Trust (paying agent), portfolio management and/or banking environment.
- Knowledge and experience in debt market document negotiation is important
- Skill to successfully negotiate with internal and external parties to mitigate risk.
- Qualified lawyer or legal background would be advantageous
