Description

I am URGENTLY looking for a Company Secretarial within Legal Entities to join my Top Tier Banking Client in Canary Wharf. Please only apply if you have a Chartered Secretaries qualifying Scheme (CSQS) or equivalent, have done this job before and live in the UK. Must have experience with dealing with entities such as trusts, SPV's, LTD and extensive Global Stakeholder Management!

Key Accountabilities

Daily responsibilities CSC (67% of time):

  • Working directly with the businesses to manage the legal entity population; including but not limited to;
    • organizing and attending board meeting
    • ensuring that the board compositions meet internal policies
    • entity rationalizations
    • liaising with external company service providers
    • working with COO teams to produce entity metrics
    • ensuring KYC, AML polices are up-to-date
    • ensuring that all internal legal policies are met, and any breaches are escalated appropriately
  • Responsible for updating and maintaining the firms' golden data source platforms.
  • Responsible for ensuring that Corporate Secretariat are provided with the necessary support and information from the business to ensure that services can be carried out in accordance with legal requirements and regulations

Responsibilities Supplier Manager contact (together with 3 below 33% of time)

  • Carry out annual supplier assurance testing on High, Medium and Medium-Lite suppliers.
  • Act as the go-to person and escalation point on supplier issues
  • Responsible for completing all sourcing and supplier management compliance activities and documentation
  • Support the development supplier strategy
  • Work with the supplier to generate incremental value
  • Support of Equity Investments COO (together with 2 above 33% of time)
  • Provide operating, administrative and strategic support to the Equity Investments COO including amongst other things:
    • Invoice processing and on-going management of the relationship with GNRI;
    • Preparation of key governance meetings including the team's Business Infrastructure Forum;
    • Completion of key internal requirements including KYC, RCSA and Audit processes;
  • In relation to the Supplier Manager contact role, act as the go-to person with Sourcing and ensure completion of the requirements associated with GNRI supplier's status (eg yearly Supplier Assurance Attestation)
  • In relation to the CSC role, support the liquidation process of legal entities within Equity Investments and participate in Volcker rule remediation projects and associated governance requirements
