This is a great opportunity to join the Company Secretarial department for JPMorgan at their offices in Northern Cross, Dublin. This is a 6 month maternity cover temporary contract working through Resource Solutions.

The Company Secretarial department is responsible for the provision of company secretarial services to support both onshore and offshore investment vehicles. Company Secretarial services includes the preparation and dispatch of board papers, attendance at and the taking of minutes of board and shareholder meetings, assistance in the preparation and release of company announcements to the Irish Stock Exchange, maintenance of statutory registers, Companies Registration Office filings, facilitation of payment of directors' fees.

The Company Secretary is a key role reporting to the Company Secretarial Manager working within Funds Service operations and entails ensuring the delivery of a top-quality company secretarial function to J.P. Morgan's clients. 

Background:

  • Must have previous experience in a Company Secretarial environment with exposure to Irish and/or offshore listed funds.
  • Preferably ICSA part or qualified

Operational

  • Preparation, compilation, and dispatch of board papers in a timely manner
  • Attendance at  board, general and ad hoc meetings, as required
  • Drafting of minutes and Actions arising from meetings
  • Drafting of Written Resolutions in lieu of Board meetings
  • Preparation and release of company announcements to the Regulatory bodies and/or Irish Stock Exchange as required
  • Maintenance of Statutory Registers and Minute Books
  • Companies Registration Office filings
  • Month end reporting
  • Ensure directors' fees are paid in a timely manner
  • Act as point of contact with external service providers and clients
  • Maintenance of client procedures

Control/Risk

  • Be risk aware and ensure full functional understanding of operational risk processes
  • Escalate any risk issues in accordance with internal risk policies to management team
  • Assist with the preparation of risk policy and procedures and to ensure that existing policies and procedures remain current.

Client/Service Delivery

  • Ensure timely delivery of all client outputs
  • Adopt flexible approach to ensure client deadlines are met
  • Proactively work to maintain and enhance client relationships
  • Assist with the planning of client meetings and visits
  • Assist with the on-boarding of new business
  • Knowledge of  the Irish and/or UK Companies Act, ISE/FSA Listing, Disclosure & Transparency and Prospectus Rules and Irish/UK corporate governance best practice would be advantageous
  • Knowledge of Guernsey and Jersey legislation and regulations would be also be advantageous
  • Knowledge of funds industry developments and trends desirable including AIFMD and FATCA.
  • Excellent presentation, interpersonal and communications skills - both written and oral
  • Excellent analytical, judgment and prioritisation skills
  • Strong attention to detail
  • Ability to assist in identifying systems and change processes desirable
  • Ability to liaise effectively with peers and clients at various level of seniority
  • Must have the ability to work accurately under pressure and to tight deadlines
