The Funds & Client Assets Governance Manager will be primarily responsible for facilitating all Client Assets related processes and governance in relation to CPB sponsored management companies in the UK, Ireland and Cayman Islands. The role will include specific duties to ensure operational measures are in place to support and assist the CASS Operational Oversight Director in the execution of his duties.

  • Act as a subject matter expert on CASS (UK remit) and CAR/Investor Monies (Irish remit), providing expertise, analytical support and trusted advice to senior stakeholders across the Wealth Division

  • Support the client AM ACD CF10a (interim, and then permanent) and the clients AM AMD Head of Investor Money Oversight PCF-46) in discharging their CASS and CAR accountabilities, ensuring detailed analytical review and active assurance of ongoing compliance on their behalf across the ManCos and all fund schemes

  • Establish, implement and maintain all Client Asset governance processes and procedures in relation to Wealth Division sponsored fund and management companies in the UK and Ireland as directed by the Head of Funds Governance and Oversight to ensure compliance with regulations and business requirements

  • Manage all CASS and CAR governance procedures to support ACD and AMD Board of director activities, third party vendor oversight (with Supplier Management team), cross border activities and fund operations

  • Manage cross border registration processes to ensure continued compliance with applicable local regulation and reporting guidelines

  • Act as a technical interface for Group/Wealth, as required with regulators, industry associations/forums and policy makers, ensuring relationships are open, transparent and in good faith

  • Conduct and maintain business risk assessments for CAM

  • Ensure adequate assurance and compliance monitoring is undertaken of CAM operations and controls across Wealth in relation to CASS policies and regulations

  • Ensure compliance with CAM policy and regulations throughout periods of business and regulatory change, by undertaking risk assessments and developing and leading programmes of change and assurance as required

  • Working with the client AM ACD's CF10a and support functions (C&RA, T&C etc.) develop, implement and maintain a suitable CASS training and competence regime across both ManCos, to ensure key CASS roles attain and maintain competence in relation to CAM

  • Leading and influencing the achievement of a compliant culture around CAM (eg facilitating open, transparent reporting of issues, and attention to the exceptions as well as the normal business processes)

  • Provision of expert advice and support on CAM across CPB Division, building exceptional relationships with senior stakeholders (CF10A/CF10/CF3 holders in UK and equivalent across other jurisdictions)

  • Develop collaborative and productive relationships with Group CAM, Operational Heads, Coutts UK's (Product & Services, Front Office & Operations) and the CF10a

  • Collaboratively work with finance colleagues to ensure that accounting standards and practices reflect and evidence the regulatory requirements in the treatment of client monies

  • Central point of contact for company secretary, directors, appointed service providers and product managers for matters relating to Board meetings and administration

  • Manage Board of director processes and procedures to support meeting organisation, and director actions, approvals and communications

  • Partner with company secretary to organise and facilitate Board meeting and ad hoc approvals

  • Maintain templates for static agenda items, business proposals, and company communications

  • Provide support for ad hoc company and Board governance issues and have accountability for issue escalation and resolution

  • Detailed knowledge and understanding of client assets and money regulation is mandatory, and understanding of Wealth Management products and services and terminology - highly desirable

  • Strong knowledge and understanding of client investment operations and the compliant processing of client assets and money and related processes eg custody, reconciliations and reporting - highly desirable

  • Broad regulatory knowledge and specific knowledge of CASS - mandatory

  • Experience of Cross border/jurisdiction project management ie FCA and CBI regulatory regimes - highly desirable
