Telecom Senior legal advisor

Reporting to the Director of Governance under the GM, International O&P ,the Senior Advisor Legal will be responsible for the direct provision of high quality legal advice and regulatory advisory services for COMPANY including:



· Reviewing and drafting a wide range of corporate and commercial contracts, including but not limited to, shareholder agreements, partner and supplier agreements.
· Advise COMPANY International team on all legal aspects of M&A and assist in negotiations.
· Managing external legal advisors on M&A and overseeing the development of shareholder agreements.
· Responsible for explaining the company’s legal position on key issues with subsidiaries, based on shareholder agreements, to management.
· Develop a governance structure for dealing with subsidiaries Board secretaries on an ongoing basis. This may include playing the role of Board secretary for smaller subsidiaries when necessary.
· Reviewing Board resolutions and ensuring alignment to shareholder agreements and minutes of meetings.
· Reviewing Board agendas and preparing Board representatives of COMPANY in operating companies for meetings.
· Acting as the single point of contact for COMPANY with Board secretaries of subsidiaries and partners.
· Reviewing all legal matters related to the agreements between COMPANY and the Operating companies and raising any potential issues and recommending action to COMPANY management.
· Coordinating with Corporate Legal Affairs on group related legal and regulatory matters.

· Align representatives of COMPANY on operating company boards on key legal matters and positions related to shareholder agreements and board resolutions
· Support Board secretaries in controlled operating companies and ensure coherence of their communication and minute taking practices according to the established governance principles.

Section 2: Qualifications
Acadand professional qualifications
· LLB undergraduate degree, a Masters degree will be an added advantage;
GPA of 2.5 or over, Good grades or above only!-
· At least 10 years legal experience ideally in a leading telco organization, with a proven track record in contract negotiation and drafting as well as M&A related legal activities,
· Proven track record of providing accurate and effective legal counsel;
· Proven track record of adding value to an organization through the development of comprehensive contract documents that mitigate risk and penalties.
· Excellent relationship management and communication skills necessary for interaction with government authorities, large organizations, well know legal firms
· contract administration, particularly contract negotiation, preparation and administration;
· Ability to provide independent advice (orally and in writing) to senior level management on highly technical matters;
· In-depth knowledge of telco regulatory law; and
· Knowledge of the legal aspects of capital markets.

Salary: Competative + bonus – no housing
