We are looking for an individual to join our client’s EMEA legal department to help provide in-house, hands-on and management support to multiple areas of the business. To report to and assist to EMEA offices in providing creative and practical counsel on a wide range of legal, corporate compliance, management and business matters involving the group of companies. The candidate will work closely with the members of the in-house legal team, outside counsel, and multiple client groups/functional departments at all levels of the company.
Responsibilities:
- To manage of all EMEA legal operations for the our client’s group of companies, working closely with country managers as well as finance, sales, human resources and other personnel.
- To ensure the quality and timeliness of legal advice to internal business clients and senior management on a broad range of legal, business and management matters.
- To manage corporate and securities transactions, including: M&A; joint ventures; strategic investing: and private/public debt and equity financing (both domestic and cross-border).
- To manage corporate and securities law matters, including: corporate governance and SOX compliance; public company disclosure issues; and drafting and administering employee long-term incentive plans.
- To negotiate and draft customer and vendor agreements and other commercial agreements, including: inbound and outbound data and software licenses; master license agreement; and master service agreements.
- To provide professional and effective services to internal and / or external customers, to meet customer expectations, particularly in terms of quality and timeliness in line with departmental standards, procedures and guidelines.
Qualifications:
- Fluent speaking, reading and writing in multiple languages, including, German and English
- Law degree from accredited university and 2 years pqe in corporate law firm, corporation or, preferably, both.
- Experience in advising listed companies. Experience with NYSA-listed companies and/or companies in insurance industry, financial services industry or a comparable industry a plus.
- Solid judgment and business acumen and understanding of business operations and corporate governance issues is a plus. In this connection, candidate will have a solid understanding of how U.S laws applicable to public companies affect ex-U.S. operations
